> Forthnet to acquire satellite operator Nova


Greek telco Forthnet has agreed to acquire NetMed, holding company for the Greek and Cypriot satellite pay TV platform Nova, for €490m. Acquisition was made from international media company Naspers, and is subject to shareholder review. Acquisition will be part funded by debt of up to €60m.

Our take...
In 2007, Naspers undertook a review of its strategic investment priorities and advised that it was involved in a formal process to sell the NetMed operations. Nova's Greek satellite operations have exhibited low growth in a market devoid of rival pay-TV companies. Consequently, it was not surprising that Naspers chose to divest its interests in a business which was under-performing significantly.

Question remains however, as to whether Forthnet will be able to turn the Greek satellite service around and stimulate growth from a company which has, despite being present in a market with less than 10 per cent pay-TV penetration, typically exhibited just five per cent growth year-on-year and even negative growth in some periods. Furthermore, competition has been increasing in the market recently. Telcos Vivodi and ON Telecoms launched IPTV services in 2007, breaking Nova's monopoly on pay TV (there is no cable in Greece), and with other IPTV launches expected this year, notably from incumbent OTE, and a strong DTT sector beginning to take hold, Nova may find the going even more tough than before.

Forthnet, however, does have one main advantage over Naspers in that it controls extensive customer relationships in the broadband and telephony space across Greece. Forthnet currently claims roughly 200,000 broadband customers, and is the second largest consumer broadband operator in Greece. Capitalizing on the new ability to offer triple-play is an especially important consideration in a market being flooded with start-up IPTV operations and could see Nova in a better position than it has been in recent years. As a further consequence of the acquisition, Nova is no longer confined to providing just a premium option. The company recently introduced a new packaging structure to its customers, with a basic price of €29.50 per month for the lowest offer. Triple-play could potentially allow the company to drop the price further, giving the service the mass market appeal which has historically prevented it from rapidly expanding its customer base.

Although IPTV as a platform has yet to achieve a subscriber base to rival that of cable or satellite, it has made serious gains in the years since it first arrived in Europe. France, is, and will remain, the main market for IPTV in Europe, with seven operators and a penetration rate of over 14 per cent.
